If a “materially limited” conflict exists, the lawyer may proceed to represent the client if the lawyer reasonably believes that the lawyer will be able to provide competent and diligent representation, the representation is not prohibited by law and does not involve representing opposing parties in the same matter and each affected client gives informed consent, confirmed in writing. The current rule more succinctly states that a conflict exists if there is a significant risk that the representation of one or more clients “will be” materially limited by the lawyer’s other responsibilities. However, under the prior version, a lawyer was prohibited from representing a client if the representation of that client “may be” materially limited by the lawyer’s other responsibilities unless the lawyer “reasonably believes” the representation will not be adversely affected and the client consents after consultation. The basic prohibitions were intended to remain substantially unchanged.
